AGREEMENT TO TERMS

These terms of use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Unlimited Tomorrow Inc., doing business as TactraFlex ("TactraFlex," "us," "we," or "our"), governing your access to and use of the tactraflex.com website, our products, software, firmware, and any related services (collectively, "Website," "Products," or "Services").

By accessing our Website or purchasing, using, or otherwise interacting with our Products, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use immediately.

These Terms should be read alongside the Unlimited Tomorrow Terms of Use available at unlimitedtomorrow.com/terms, which governs our broader organizational policies.


ELIGIBILITY

Our Products and Services are intended for use by individuals who are at least 18 years of age and who can form legally binding contracts. By using our Website or purchasing our Products, you represent and warrant that you meet these requirements. If you are purchasing on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.


PRODUCTS AND DESCRIPTIONS

We make reasonable efforts to ensure that product descriptions, specifications, images, and pricing on our Website are accurate. However, we do not warrant that product descriptions or other content on our Website are accurate, complete, reliable, current, or error-free. TactraFlex products are precision electromechanical devices, and specifications may vary slightly between individual units within published tolerances.

We reserve the right to modify product specifications, features, pricing, and availability at any time without prior notice.


PRODUCT USE AND SAFETY

TactraFlex products are precision haptic devices designed for use in simulation, training, and human-machine interaction applications. You agree to:

— Read and follow all product documentation, safety guidelines, and operating instructions before and during use
— Use the product only for its intended purposes and within its published specifications
— Not disassemble, reverse engineer, or modify the product except as expressly permitted in writing
— Not use the product in safety-critical applications where product failure could result in death, personal injury, or severe property damage, unless expressly authorized by TactraFlex in a written agreement
— Ensure that all users within your organization are trained on proper use and safety procedures

TactraFlex products deliver haptic feedback including vibration and force. Users with medical conditions that may be affected by vibration, electrical stimulation, or repetitive motion should consult a healthcare professional before use.

TACTRAFLEX IS NOT RESPONSIBLE FOR ANY INJURY, DAMAGE, OR LOSS RESULTING FROM USE OF THE PRODUCT OUTSIDE OF ITS INTENDED PURPOSE OR PUBLISHED SPECIFICATIONS, OR FROM FAILURE TO FOLLOW PRODUCT DOCUMENTATION AND SAFETY GUIDELINES.


INTELLECTUAL PROPERTY

All content published and made available on our Website is the property of Unlimited Tomorrow Inc. and/or its creators. This includes, but is not limited to, product designs, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, software, firmware, and all intellectual property claims related to TactraFlex, TrueLimb, TrueSense, and all associated technologies.

The TactraFlex name, logo, and all related product names, design marks, slogans, and trade dress are trademarks or registered trademarks of Unlimited Tomorrow Inc. You may not use these marks without our prior written permission.

All software and firmware included with or embedded in TactraFlex products is licensed, not sold. You are granted a limited, non-exclusive, non-transferable license to use the software and firmware solely in connection with the TactraFlex product with which it was provided. You may not copy, modify, distribute, sell, or lease any part of our software or firmware, nor may you reverse engineer or attempt to extract the source code.


ENTERPRISE AND INSTITUTIONAL USE

For enterprise and institutional customers, these Terms apply unless superseded by a separate written agreement. In the event of a conflict between these Terms and a signed enterprise agreement, the enterprise agreement shall govern.

Enterprise deployments involving multiple units, custom configurations, integration services, or dedicated support are subject to separate commercial terms negotiated on a case-by-case basis.


LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TACTRAFLEX, UNLIMITED TOMORROW INC., OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE WEBSITE, PRODUCTS, OR SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (III) ANY CONTENT OBTAINED FROM THE WEBSITE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE WEBSITE, PRODUCTS, OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


INDEMNIFICATION

You agree to indemnify and hold harmless TactraFlex, Unlimited Tomorrow Inc., and their officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (i) your use of and access to the Website, Products, or Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including any intellectual property or privacy right; or (iv) any claim that your use of the Products caused damage to a third party.


PROHIBITED ACTIVITIES AND USES

You may not use the Website or Services to engage in activity that is illegal under applicable law, that is harmful to others, or that would subject us to liability. Prohibited activities include but are not limited to:

— Distributing malware or other malicious code
— Disclosing sensitive personal information about others
— Collecting or attempting to collect personal information about third parties without their knowledge or consent
— Infringing the intellectual property or other proprietary rights of others
— Misrepresenting or fraudulently representing products or services
— Using automated systems to scrape, crawl, or extract data from our Website
— Attempting to gain unauthorized access to our systems, networks, or data
— Facilitating, aiding, or encouraging any of the above activities through our Website or Services


SYSTEM ABUSE

Any user in violation of our Website or Services security is subject to criminal and civil liability, as well as immediate account termination. Examples include but are not limited to: use or distribution of tools designed for compromising security; intentionally or negligently transmitting files containing a computer virus or corrupted data; accessing another network without permission; and unauthorized scanning or monitoring of data on any network or system.


GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or your use of our Website, Products, or Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.


SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.


CHANGES AND AMENDMENTS

We reserve the right to modify these Terms at any time, effective upon posting of an updated version on the Website. When we do, we will revise the updated date at the top of this page. Continued use of the Website or Products after any such changes shall constitute your consent to such changes. For enterprise customers operating under a separate written agreement, changes to these Terms do not modify the terms of that agreement.


ACCEPTANCE OF THESE TERMS

You acknowledge that you have read these Terms and agree to all their terms and conditions. By using the Website, purchasing Products, or using their Services you agree to be bound by these Terms. If you do not agree to abide by the terms of these Terms, you are not authorized to use or access the Website, Products, and their Services.
