DEVELOPER AGREEMENT
Last updated: September 2026
ABOUT THIS AGREEMENT
This TactraFlex Developer Agreement ("Agreement") is between you and, if you accept on behalf of a company, that company ("Developer," "you," or "your") and Unlimited Tomorrow Inc., doing business as TactraFlex ("TactraFlex," "we," "us," or "our"). It governs your access to and use of the TactraFlex developer portal, software development kit (SDK), APIs, documentation, sample code, tools, and pre-release materials (collectively, the "Developer Materials").
By requesting access, creating a portal account, or using the Developer Materials, you agree to this Agreement. This Agreement supplements the TactraFlex Terms of Use. If they conflict, this Agreement controls for the Developer Materials. A separate signed agreement between you and TactraFlex, if any, controls over both.
ELIGIBILITY AND ACCOUNTS
Portal access is limited to verified TactraFlex customers and approved partners. Accounts belong to the named user and may not be shared. You are responsible for keeping your login credentials secure and for all activity under your account. We may approve, decline, suspend, or revoke access at our discretion.
LICENSE
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Developer Materials only to develop, test, and support applications that work with genuine TactraFlex hardware ("Your Applications"). You may distribute SDK runtime components only as compiled parts of Your Applications, and only where the documentation identifies those components as redistributable.
RESTRICTIONS
You will not, and will not allow others to: (a) share, publish, sell, or redistribute the Developer Materials except as permitted above; (b) reverse engineer, decompile, or disassemble the Developer Materials, firmware, or hardware, except to the extent applicable law expressly permits despite this restriction; (c) use the Developer Materials to build or benchmark a competing product, or to support hardware other than TactraFlex; (d) remove proprietary notices; (e) circumvent security, licensing, or safety limits, including force feedback limits; or (f) use the Developer Materials in violation of any law, including export control laws.
CONFIDENTIALITY
The Developer Materials, portal content, pre-release features, roadmaps, and any other non-public information we share are TactraFlex Confidential Information. You will use Confidential Information only to exercise your rights under this Agreement, protect it with at least reasonable care, and disclose it only to your employees and contractors who need to know it and are bound by confidentiality obligations at least as protective as these. These obligations do not apply to information that is or becomes public through no fault of yours, that you already lawfully had, or that you develop independently. These obligations last for three (3) years after this Agreement ends, and for trade secrets, for as long as they remain trade secrets.
OWNERSHIP AND FEEDBACK
TactraFlex and its licensors own all rights in the Developer Materials, hardware, firmware, and trademarks. You own Your Applications, excluding any Developer Materials included in them. If you send us suggestions or feedback, we may use them without obligation to you.
SAFETY
TactraFlex hardware applies physical force and vibration to the user's hand. You are responsible for designing Your Applications to use force feedback and vibration safely, following the documentation and safety guidelines, and testing appropriately before deploying to end users.
UPDATES AND PRE-RELEASE MATERIALS
We may update, change, or discontinue the Developer Materials at any time. Beta, preview, or pre-release materials may contain errors and are provided for evaluation only.
DATA
If you send us logs, diagnostics, or device data for support, we will use it to provide support and improve our products, as described in our Privacy Policy.
TERM AND TERMINATION
This Agreement starts when you accept it and continues until terminated. You may stop using the Developer Materials at any time. We may suspend or terminate your access at any time, including if you breach this Agreement or your customer or partner status ends. When this Agreement ends, you must stop using and delete the Developer Materials and any Confidential Information, except for redistributable runtime components already shipped in Your Applications. The Restrictions, Confidentiality, Ownership and Feedback, Disclaimer, Limitation of Liability, Indemnification, and Governing Law sections survive termination.
DISCLAIMER
THE DEVELOPER MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACTRAFLEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM THIS AGREEMENT OR THE DEVELOPER MATERIALS. OUR TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
INDEMNIFICATION
You will defend and indemnify TactraFlex against third-party claims arising from Your Applications or your breach of this Agreement.
GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Disputes will be resolved as described in the TactraFlex Terms of Use, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
CHANGES TO THIS AGREEMENT
We may update this Agreement by posting a new version on this page and updating the date above. If you keep using the Developer Materials after an update, you accept the updated Agreement.
